Sample Chapter Logo Usage Contract Text

Your chapter name, an official chapter of the Red Hat Society, hereafter referred to as the contracting party, is granted permission by the Red Hat Society, Inc. to use the Red Hat Society Chapter Logo, hereafter referred to as "chapter logo" on item(s) stated on this contract only. The item(s) listed herein will not be offered for sale in any venue or for any purpose whatsoever and will not include any reference, overt or covert, to items or services of any kind which may be offered for sale by members of the said chapter, the chapter as a whole, or any outside party. The item(s) also may not include reference(s) to web sites and/or businesses which offer goods or services of any kind for sale.

Furthermore, the contracting party agrees that the item(s) bearing the chapter logo will not be used in connection with the debasement, slander or libel of any individual(s) or organization(s) whatsoever...

The contracting party agrees that the use of the above chapter logo will be limited to number of items (number) item description (item which will bear the trademark) only and that the permission for use of the chapter logo as granted herein is specific to use on the item(s) and quantities of the item(s) mentioned herein only. The contracting party also agrees that the chapter logo will be used in full compliance with the following style specifications:

  1. The chapter logo must appear in one of three color combinations:
    a. Red on White, b.Red on Purple, c. White on Red
  2. The chapter logo may not appear as part of an integrated design. That is, it may not be partially obscured by or overlapping and other design elements including type and/or graphics of all kinds.
  3. Any items bearing the chapter logo mark(s) that are to be produced en masse for any purpose whatsoever must be presented to the Red Hat Society, Inc. and the design, materials and production methods used to produce the items approved by the Red Hat Society, Inc. prior to production of the items.

The contracting party shall be responsible to maintain due vigilance for the protection of the chapter logo in use and may be refused further use of the chapter logo if such vigilance is found to be ineffective for any reason whatsoever. Such vigilance shall include responsibility for the protection of the digital file in use. Once the item(s) is/are produced, the Red Hat Society logo file is to be deleted from the records of the printing and/or publishing agency producing the item(s)...

In addition, the contracting party agrees to supply a photograph and/or acceptable representation of the item(s) on Acacia Ave., Fullerton, CA 92831. If the item is unacceptable to the Red Hat Society, Inc. for any reason whatsoever and there can be found no remedy which satisfies the requirements of The Red Hat Society, Inc. within 2 weeks of the time that the item is first received and/or reviewed by The Red Hat Society Inc., the contracting party agrees to destroy any or all items produced which bear the chapter logo immediately and shall not seek compensation or reimbursement...

Permission of use is granted only under the terms stated in this contract and does not cover any second printings or second editions of any kind...
